A) Conditions of participation for the spring competition of LEDVANCE GmbH

1. Organizer, scope

1.1 The organizer of this competition is LEDVANCE GmbH, Parkring 29-33, 85748 Garching near Munich (hereinafter “LEDVANCE”).

1.2 Participation in the competition is based exclusively on these conditions of participation. By participating in the competition, the participant agrees to these conditions of participation.

1.3 For reasons of better legibility, the simultaneous use of masculine and feminine forms of speech is not used below; all personal designations apply to both genders.

1.4 All times stated in these Conditions of Participation refer to Central European Summer Time (CEST).

2. Instagram Disclaimer

The competition is not connected to Instagram and is in no way sponsored, endorsed or organized by Instagram. The sole contact person and person responsible is LEDVANCE as the organiser. LEDVANCE releases Instagram from any liability in connection with this competition.

3. Eligible Participants

3.1. All natural persons who have reached the age of 18 at the time of participation and are resident in Germany are entitled to participate in the competition. Participation in the competition is only possible once per participant.

3.2. Legal representatives and employees of LEDVANCE and companies affiliated with LEDVANCE within the meaning of §§ 15 ff AktG and their relatives are excluded from participation.

3.3. Participation via sweepstakes associations, automated services and other service providers is not permitted. Persons who use unauthorized aids or otherwise gain advantages through manipulation are also excluded.

4. Entry Period

The duration of the sweepstakes extends from April 21, 2023, 10:00:00 a.m. to and including April 28, 2023, 11:59:59 p.m. Participation is only possible within this participation period. The time logged by the Instagram platform is decisive for the time of participation.

5. Eligibility Requirements

5.1. The competition refers to the following spring competition post on the LEDVANCE Instagram page “LEDVANCE Consumer Deutschland” (@ledvance_de) (hereinafter “spring competition post”)

5.2. In order to take part in the competition, the participant must have a working internet connection, be authorized to receive messages on Instagram, and during the participation period (Section 4):

a) "Follow" the LEDVANCE Instagram page "LEDVANCE Consumer Deutschland" (@ledvance_de) and

b) Leave the following comment under the LEDVANCE spring competition post: "I'm ready!"

5.3. Participation in the competition is only possible once per participant. It is forbidden to use multiple Instagram profiles to increase the odds of winning. After the participation period has expired, "likes" and comments cannot be taken into account for participation in the competition.

5.4. The participant has to bear any internet connection costs himself. Otherwise, participation in the competition is free of charge for the participant.

6. Winnings, Redemption of Winnings

6.1. LEDVANCE will determine one (1) winner from among all eligible participants. A total of one (1) LEDVANCE product bundle from three bundles to choose from will be raffled off:

a. LEDVANCE Outdoor Bundle with a total value of 223.56 euros (RRP)

b. LEDVANCE Entertainment Bundle with a total value of €231.28 (RRP)

c. LEDVANCE Smart Home Starter Bundle with a total value of €229.73 (RRP)

6.2. Any other costs or expenses incurred in connection with claiming the prize must be borne by the winner and will not be reimbursed by LEDVANCE.

6.3. The winner is not entitled to any change or addition to the prize. The prize is non-transferable, non-exchangeable and cannot be bought or sold. A cash payment of the prize is not possible. The winner is responsible for any taxation of the prize.

7. Winner Determination and Notification; profit transfer

7.1. The winner will be chosen from the participants on May 2nd, 2023 using a random number generator (random.org). All eligible participants who meet the participation requirements, in particular the LEDVANCE Instagram page "LEDVANCE Consumer Deutschland" (@ledvance_de)" according to Section 5.2, will be taken into account in the draw. a) "Follow" and have left a comment in accordance with Section 5.2 b). 7.3. The winner is then obliged to send a private Instagram message to LEDVANCE by May 16, 2023, 12:00 p.m., addressed to the LEDVANCE Instagram page “LEDVANCE Consumer Deutschland” (@ledvance_de), stating

• his full first and last name,
• a postal delivery address in Germany for sending the prize
• and a valid email address

If the winner does not report within this period, he loses his right to win without replacement. In this case, LEDVANCE reserves the right to determine a substitute winner by drawing lots. For this reason, participants are advised to check their own Instagram Direct Message inbox "Main Folder" or "Requests" during this time.

7.4. The prize will be sent to the winner to the specified postal delivery address. The prizes are dispatched from LEDVANCE's own central warehouse. The prizes will only be sent within Germany. If the address/postal address provided by the winner is incorrect and/or the prize cannot be sent for other reasons for which the winner is responsible, the claim to the prize will be forfeited. LEDVANCE determines the terms of delivery for the delivery of prizes at its own discretion.

8. Limitation of Liability

8.1. Once the prize has been sent, LEDVANCE is released from any obligation to perform. LEDVANCE is not liable for legal and/or material defects in the prize. All information provided by LEDVANCE is provided without guarantee.

8.2. LEDVANCE has unlimited liability in terms of reason and scope for intentional or grossly negligent action and for intentional or grossly negligent action by its vicarious agents, in the event of culpable injury to life, limb or health, in the event of liability under the Product Liability Act, in the case of fraudulent concealment of a defect and in the case of contractual assumption of a quality guarantee. LEDVANCE continues to be liable in the event of a simple negligent breach of a material contractual obligation, i.e. an obligation that is essential for the proper execution of the competition and the fulfillment of which the participant therefore trusts and may trust, but limited to the foreseeable, typically occurring damage. 9. No Unlawful Comments Release

9.1. The comments or content posted by the participants on the LEDVANCE Instagram page "LEDVANCE Consumer Germany" (ledvance_de) must not contain any illegal content and in particular must not

a) causing harm to persons, in particular minors, or infringing on their personal rights, containing untrue statements of fact about persons or insulting persons,

b) violate industrial property rights and copyrights or other property rights or

c) infringe the privacy rights of third parties.

In addition, each participant is obliged to observe Instagram's terms of use.

9.2. The participant exempts LEDVANCE from all claims that third parties assert against LEDVANCE due to infringement of their rights through comments made by the participant or content posted, insofar as the participant is responsible for the infringement. The participant bears the resulting costs of the necessary legal defense of LEDVANCE, including all court and attorney's fees at the statutory rate. In the event of a claim by a third party, the participant is obliged to provide LEDVANCE with all the information it needs to examine the claims and defend them immediately, truthfully and completely.

10. Early termination of the Sweepstakes

LEDVANCE reserves the right to cancel the competition or withdraw and reclaim prizes in the event of manipulation. LEDVANCE expressly reserves the right to end the competition without prior notice and without giving reasons. This applies in particular to any reasons that would disrupt or prevent the competition from running as planned. The participant cannot assert any claims against LEDVANCE as a result of such a termination or termination. LEDVANCE assumes no liability for lost chances of winning. Insofar as a cancellation or termination is caused by the behavior of a participant, LEDVANCE can demand compensation from this person for the damage incurred.

11. Applicable Law, Exclusion of Legal Recourse, Subject to Change, Partial Invalidity

11.1. These conditions of participation are exclusively subject to the law of the Federal Republic of Germany to the exclusion of the UN Sales Convention (CISG).

11.2. The legal process is excluded.

11.3. LEDVANCE reserves the right to change these Conditions of Participation at any time, should this be necessary.

11.4. Should a provision of these Conditions of Participation be or become invalid in whole or in part, this shall not affect the validity of the rest of these Conditions of Participation. Instead of the invalid provision, the legally permissible provision that comes closest to the economic sense and purpose expressed in the invalid provision shall apply. The same applies in the event of a loophole in these Conditions of Participation.

2. Data processing as part of the competition

We process this personal data in order to determine whether you are eligible to participate, to determine the winner of the raffle and, if you have won, to contact you via Instagram. We need your postal address to send you your personally selected product bundle.

The data processing in the context of the competition serves the sole purpose of conducting our competition. The legal basis for the processing of personal data is therefore Art. 6 (1) (b) GDPR.

We only store your data for as long as is necessary for the purpose of conducting the competition and delete the data collected as a result of the competition at the latest after the conclusion (successful determination of winner) of the competition, provided that there are no conflicting storage obligations.
